WINAIR was formed by a group of aviation professionals all of whom have extensive experience in various facets of the industry. The majority of the key personnel have worked as a team at Morris Air and/or Champion Air. WINAIR was formed to capitalize on a recognized opportunity to provide charter flights with seating capacity of 90-125 to fill a void created particularly by the cessation of operations of Great American Airways. WINAIR will operate under Part 121 of the Federal Aviation Regulations.

WINAIR's core strategy for achieving success in the competitive passenger charter field is to combine efficient equipment with a dedicated and cost-effective labor force. Within twelve months after certification, WINAIR plans to have a fleet of four 737-200 aircraft. These aircraft are ideally suited for the mid-size medium range markets which WINAIR will target, and which have been cultivated by predecessors such as Great American and Viscount. To keep productivity up and labor costs down, crew and maintenance workers have been recruited from the Salt Lake City area—an area noted for the strong work ethic and competence of its labor force.

Supplement No. 1 to Application

WINAIR, Inc. ("WINAIR") submits this Supplement No. 1 to its above application in response to the Department's Information Request dated October 9, 1997. All responses to the Information Request are contained in Supplement No. 1 to WINAIR's application for a certificate of public convenience and necessity to engage in interstate charter air transportation of persons, property and mail and the exhibits attached thereto, filed concurrently herewith. Pursuant to 14 C.F.R. §201.3, WINAIR incorporates all such documentation and information herein by reference.

Correspondence - Safety and Compliance Evaluation

We are currently reviewing the fitness of WINAIR, Inc., to conduct interstate and foreign charter passenger air transportation as a certificated air carrier. WINAIR is a start-up company and, as such, currently holds no DOT/FAA economic or operating authority. If granted the authority it seeks, the company proposes to institute charter passenger operations in mid-size domestic markets, particularly in the western United States, as well as in Mexican and Canadian transborder markets, using two B737-200 aircraft. WINAIR plans to add two additional B737-200's to its fleet within its first year of operations.

Re: Letter from Counsel to Aviation Analysis

WINAIR plans to grow at a moderate rate over the first two years. As can be seen in its applications, WINAIR plans to increase its fleet gradually during the first year to a total of four aircraft if warranted by market conditions. Although its plans for the second year are not finalized, WINAIR expects to continue its modest growth by adding aircraft in or about January, May, June and December 1999 bring the total fleet to eight aircraft. As is the case with the first year's growth, the increase in fleet size will occur only if the market can support a profitable expansion. WHIR expects to finance such growth with profits generated during the first year. If adequate funds cannot be generated internally but market conditions warrant the growth, WINAIR's growth will be financed by Mr. Winwood, WINAIR's Chairman and sole shareholder.

Order to Show Cause - Proposing Issuance of Certificate Authority

WINAIR intends to commence charter passenger operations in December 1997 in mid-size medium range domestic charter markets, as well as in Mexican and Canadian transborder markets using two 122-seat B737-200 aircraft. The company expects to add a third B737-200 aircraft to its fleet in its sixth month of operations and a fourth aircraft in its tenth month of operations.

Final Order

By Order 97-11-21 , issued November 12, 1997 , we directed all interested persons to.show cause why we should not make final our tentative findings and conclusions stated in it and award certificates of public convenience and necessity to WINAIR, Inc., authorizing it to engage in interstate and foreign charter air transportation of persons, property, and mail. Interested persons were given 7 calendar days to file objections to the order.

No objections to the show-cause order were received. Accordingly, we find that WINAIR, Inc., is fit, willing, and able to engage in interstate and foreign charter air transportation of persons, property, and mail.

By Order 97-l1-34 , issued November 20, 1997, we found WINAIR, Inc., fit, willing, and able to engage interstate and foreign charter air transportation of persons, property, and mail. Further, by that order, we issued a section 41102 certificate authorizing WINAIR to engage in interstate charter air transportation.By this order, we are issuing a companion certificate to WINAIR, authorizing it to engage in foreign charter air transportation. Instead of repeating our findings and conclusions in Order , we incorporate them here by reference.

As we discussed, WINAIR expects to complete its FAA proving runs this weekend and anticipates that its FAA Operating Certificate and operations specifications will be issued on Monday, January 12, 1998. As we previously discussed, WINAIR will be requesting a waiver of the Department's six-day review period upon the submission of its 121 certificate and op specs. In an effort to facilitate your review of the remaining documentation, I am attaching hereto a resume for Richard Ence who has replaced Terence Ash as WINAIR's Vice President - CFO, along with the relevant compliance information. There have been no other changes in WINAIR's ownership, key personnel, operating plans, financial posture or compliance history since the date of the Show Cause Order.

Also attached is a revised list of pre-operating expenses already paid and those remaining to be paid. As you can see, WINAIR's estimated pre-operating costs will have exceeded its actual pre-operating costs by approximately $86,000. A portion of the $2,000,000 in equity being provided by Mr. Winwood has been used to cover the pre-operating costs. Evidence that the balance of the equity has been paid to WINAIR will be provided in the very near fixture. In addition, I want to confimn that WINAIR's line of credit from Mr. Winwood in the amount of $5,200,000 remains in place and has not been drawn upon.

In an effort to facilitate your review of the remaining documentation, I am attaching hereto a letter from WINAIR's bank confirming the amount currently on deposit. During the course ofthe last two weeks, Mr. Winwood has deposited $333,850 (which exceeds the balance due on his equity commitment) in WINAIR's account. In addition, I want to confirm that WINAlR's line of credit from Mr. Winwood in the amount of $5,200,000 remains in place and has not been drawn upon.

Order Issuing Effective Interstate Certificate and Confirming Oral Action

On January 21, 1998, WINAIR submitted evidence that it had obtained an Air Carrier Certificate from the FAA authorizing it to conduct passenger charter operations within the United States. Our review of these documents found them to be satisfactory. Hence, on January 21, we notified WINAIR that we were making its section 41102 interstate certificate effective on that same date. By this order, we confirm our oral action making WINAIR's interstate certificate authority effective and reissue to the carrier this authority to reflect its January 21, 1998, effective date. The foreign certificate authority issued to WINAIR by Order 97-12-11 will not be made effective until such time as WINAIR submits to us evidence that it has received from the FAA amended operations specifications which authorize it to conduct operations to points outside of the United States.

It has now been over a year since WINAIR ceased operations. To date, the carrier has not filed an application to resume operations. Therefore, we have decided to revoke, for reason of dormancy, the section 41102 certificates issued to WINAIR authorizing it to engage in interstate and foreign air transportation of persons, property, and mail. Our action is without prejudice to the company's applying for new certificate authority any time in the future.
