Over the years, Mid-Atlantic Freight, Inc. has remained focused on the feeder freight market, serving other markets as opportunities arise. In addition to several major overnight express airlines, the company's non-feeder freight customers have included overnight photo processors, security transport services, disaster relief agencies, automobile component manufacturers and airline freight forwarders. Fleet size is adjusted to meet market demand. At present, the company operates 17 Cessna Caravans on feeder freight runs in 14 states, averaging more than 12,000 flight hours annually with 99.6% on time performance and reliability. Mid-Atlantic Freight, Inc. has now operated the Cessna Caravan for approximately 175,000 hours, more than 25 million miles.

In January 1999, Mid-Atlantic Freight, Inc. underwent a change of ownership, becoming a 100%-owned subsidiary of Atlantic Aero Holdings, Inc. Details of ownership are set forth in this application.

Mid-Atlantic Freight, Inc. proposed operations will offer two (2) round trips per day, five days per week (Wednesday, Thursday, Friday, Saturday and Sunday) between Norfolk, VA (ORF), Pine Island, NC (7NC2) and Manteo, NC (MQI). Flights will begin and conclude each day in Manteo.  Manteo will eventually become a maintenance base. All management functions will be conducted from the company's corporate facility in Greensboro, North Carolina, where the flight operations department is located.

We have completed an initial review of the application filed by Mid-Atlantic Freight Inc. requesting authority to provide scheduled passenger services as a commuter air carrier. This review has revealed the following areas where additional and/or clarifying information is needed.

MAF projects that it will carry approximately four passengers on each leg of its proposed Manteo-Pine Island-Norfolk flight. Please elaborate on the basis for this assumption.

This letter is in response to your letter of February 3, 2003 and your e-mail of February 4, 2003 requesting additional and/or clarifying information regarding our application requesting authority to provide scheduled passenger service as a commuter air carrier.

At Pine Island airport (7NC2), we plan to use personnel from the Sanderling Inn to handle passengers there. All ticketing will be accomplished through an agreement with the Sanderling Inn. This service is provided by the Inn at no charge to help promote the use of the Inn.  MAF will be leasing the aircraft from Atlantic Aero. The lease will specify that all revenue MAF receives from the airline operation will be paid to Atlantic Aero.

The basis for our belief that the market will produce a 40.0% to 50.0% load factor (four passengers per leg average) is based on a number of factors. One of our shareholders has been involved with significant Outer Banks property ownership and development for more that thirty years. Over that period, we have seen tremendous development of that area with increased land traffic congestion, especially for those traveling from the Norfolk area. It is the consensus of airport operators in the area and State of North Carolina Aviation officials that, based on the significant growth of the area, a commuter operation using the Cessna Caravan would have a high probability of success.

OST-02-14145 April 1, 2003 Request of the Air Carrier Fitness Division Application for Authority to Conduct Scheduled Passenger Operations as a Commuter Air Carrier

On December 23, 2002, Mid-Atlantic Freight, Inc. filed an application in Docket OST-2002­14145 requesting that the Department find MAF fit to engage in scheduled passenger operations as a commuter air carrier. At the same time, the company filed a motion under section 302.12 of the Department's rules requesting confidential treatment of some of the material filed in connection with that application. The purpose of this letter is to rule on that motion.

We do not generally grant confidential treatment to the financial statements of commuter applicants, nor do we generally grant confidential treatment to an applicant's parent company, particularly when that company is committing to provide financial support to the applicant.

Order to Show Cause Proposing Issuance of Commuter Air Carrier Authority

Like its sister company, Atlantic Aero, MAF is currently registered with the Department as an on-demand air taxi operator under Part 298 of the Department's Economic Regulations and holds an Air Carrier Certificate issued under Part 135 of the Federal Aviation Regulations (PARs). It operates 17 Cessna Caravan aircraft in scheduled freight feeder services for other cargo companies, such as FedEx and United Parcel Service. If it is found fit and issued the commuter authority it seeks, MAF plans to offer limited scheduled passenger service between Norfolk, Virginia, and Pine Island and Manteo, North Carolina using an 8-passenger Cessna C-208B Grand Caravan. The company intends to conduct these scheduled operations under the trade name, "OBXpress Air Shuttle".
